Your Ontario corporation’s yearly paperwork, done in one sitting

Every Ontario business corporation has yearly jobs to do: the annual shareholder and director resolutions that go in the minute book, and an Ontario annual return filed through the Ontario Business Registry within 6 months after its fiscal year-end.

This kit prepares those resolutions, the minute-book update pages, and a completed annual-return worksheet ready to copy into the Registry. You file the return yourself, with your own Company Key — this site never asks for your Company Key, and nothing is filed by this site. The annual return is not the tax return: the T2 corporate tax return is separate, and is filed with the CRA, usually through your accountant.

STEP 1 OF 5

The corporation

Start with the corporation’s legal details, exactly as they appear in its articles and in the Ontario Business Registry.

Most small Ontario corporations are non-offering (private). This matters for the auditor question in Step 3.
Pre-filled with the most recent fiscal year-end on or before today. Change it if this kit covers a different year. The annual return is due within 6 months after this date.
STEP 2 OF 5

People

The directors, officers and shareholders who will appear in the resolutions, the registers and the annual-return worksheet.

STEP 3 OF 5

The year’s business

The annual items the directors and shareholders deal with in the resolutions: financial statements, the auditor, and any changes during the year.

Why these items? Each year the directors approve the financial statements and appoint the officers, and the shareholders receive the financial statements, elect the directors, and either appoint an auditor or — for a non-offering (private) corporation only — all shareholders consent in writing to exempt the corporation from the audit requirements. Annual shareholder business must happen within 18 months of incorporation the first time, then within 15 months of the last annual meeting or resolutions. Written resolutions signed by all the directors, and by all the shareholders entitled to vote, can replace meetings for these items — that is what this kit prepares.
The annual resolutions record the financial statements for the financial year covered in Step 1.

Available only for a non-offering (private) corporation, and only when every shareholder consents in writing for that year.

Audit exemption is not available. An offering corporation must appoint an auditor, so this kit will use the “Appoint an auditor” option.

Tick everything that changed during this financial year. Changes to directors, officers or the registered office must be reported to the Ontario Business Registry with a Notice of Change within 15 days of the change.

STEP 4 OF 5

Registers

Ontario law (OBCA s.140) requires the corporation to keep a minute book with its articles and by-laws and their amendments, minutes and resolutions of shareholders and of directors, registers of directors, officers and securities (shareholders and shares), a register of transfers, and a register of individuals with significant control (the ISC register). The ISC register must be reviewed and confirmed at least once in each financial year.

Add the directors in Step 2 and they will appear here.

List each individual with significant control over the corporation (for example, an individual who owns, controls or directs 25% or more of the shares or voting rights), or confirm there is no change.

Review & generate

Check the key facts and the computed dates, then generate your kit.

Draft status: This kit prepares drafts for straightforward situations only. It is not legal advice and it is not accounting or tax advice. The Ontario annual return is not the tax return — the T2 corporate tax return is separate, and is filed with the CRA, usually through your accountant. Nothing is filed by this site: you file the annual return yourself in the Ontario Business Registry, using your own Company Key. Consider having the completed kit reviewed by a lawyer or accountant if your circumstances are unusual — for example, many shareholders, filings already in arrears, or share transfers. The seller accepts no responsibility for decisions, losses, or outcomes arising from use of these drafts.

Your draft kit is ready
